Welcome to Luminaire, a service of Ann Arbor Radio LLC ("Ann Arbor Radio," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Luminaire service, including our AI-powered shopping assistant ("Concierge") and merchant analytics dashboard ("Vantage") (collectively, the "Service").

By creating an account, installing the Luminaire application, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Luminaire provides an AI-powered shopping assistant platform for Ecwid merchants, consisting of:
The Service integrates with your Ecwid store and uses artificial intelligence and machine learning technologies to generate responses and recommendations.
The Luminaire Service uses artificial intelligence to generate responses, recommendations, and insights. You acknowledge and agree to the following critical limitations:
All AI-generated content, including product recommendations, customer responses, and analytics insights, is provided for informational purposes only. The AI may provide responses that are incorrect, incomplete, misleading, inappropriate, or not suitable for your specific business context or customer needs.
The Service and its AI-generated content are NOT a substitute for professional business advice, judgment, or human oversight. You are solely responsible for:
You acknowledge that you will not rely solely on AI-generated content for making business decisions, customer service, or product recommendations. The AI's suggestions and recommendations may not be suitable for all customers, products, or situations.
You are responsible for implementing appropriate human review and oversight of the AI's interactions with your customers. Luminaire provides tools to review conversation logs, customize AI behavior, and disable features, but you bear the ultimate responsibility for how the Service is used in your business.
AI-generated product recommendations are based on algorithmic analysis and may not reflect individual customer preferences, needs, or circumstances. Recommendations do not constitute endorsements or guarantees of product suitability, quality, or customer satisfaction.
Use of the Service requires an active Ecwid by Lightspeed store account. You must comply with all Ecwid terms of service and policies in addition to these Terms.
You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements.
The Service is offered on a subscription basis at $99 per month. Pricing is subject to change with 30 days' notice.
New customers may receive a 14-day free trial. After the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.
All subscription fees are processed through the Ecwid App Market. By subscribing to the Service, you authorize Ecwid to charge your payment method on file for the applicable subscription fees.
Your subscription will automatically renew on a monthly basis unless you cancel before the next billing date. You are responsible for managing your subscription through the Ecwid App Market.
Subscription fees are non-refundable except as required by applicable law or as expressly stated in these Terms. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.
All fees are exclusive of taxes, which you are responsible for paying as required by applicable law.
You agree not to use the Service to:
We reserve the right to suspend or terminate your account for violation of this Acceptable Use Policy.
You retain all ownership rights to the data you provide to the Service, including product information, customer data, and conversation logs ("Your Data"). You grant Luminaire a limited license to use Your Data solely to provide and improve the Service.
Luminaire may collect and use aggregated, anonymized data derived from Your Data for analytics, research, and service improvement purposes. This aggregated data does not identify you or your customers.
Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.
While we implement reasonable security measures to protect Your Data, you acknowledge that no method of transmission or storage is 100% secure. We cannot guarantee absolute security of Your Data.
The Service, including all software, algorithms, designs, text, graphics, logos, and other content (excluding Your Data), is owned by Ann Arbor Radio LLC and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to these Terms, Luminaire grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.
You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any portion thereof without our prior written consent.
If you provide feedback, suggestions, or ideas about the Service, you grant Luminaire a perpetual, worldwide, royalty-free license to use such feedback for any purpose without compensation or attribution to you.
THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LUMINAIRE SPECIFICALLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Any performance metrics, case studies, or testimonials presented in our marketing materials are illustrative examples and do not constitute guarantees of future performance or results. Past performance does not guarantee future results.
The Service integrates with third-party platforms, including Ecwid. We are not responsible for the availability, functionality, or content of third-party services, and we disclaim all liability related to your use of such services.
PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS LUMINAIRE'S LIABILITY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUMINAIRE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:

You acknowledge and agree that the limitations of liability set forth in this Section 10 are fundamental elements of the bargain between you and Luminaire, and that Luminaire would not provide the Service without these limitations.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations may not apply to you, and Luminaire's liability shall be limited to the maximum extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Luminaire and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Luminaire reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Luminaire's defense of such claim.
These Terms remain in effect for as long as you use the Service or maintain an account with Luminaire.
You may terminate your account and these Terms at any time by canceling your subscription through the Ecwid App Market. Upon cancellation, you will retain access to the Service until the end of your current billing period.
We may suspend or terminate your account and access to the Service immediately, without notice, if:

Sections 3 (AI Disclaimers), 7 (Data Ownership), 8 (Intellectual Property), 9 (Warranties and Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Dispute Resolution) shall survive termination of these Terms.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date" at the top of this document. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Before filing a claim, you agree to contact us at legal@getluminaire.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email within 30 days of receiving your notice.
If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.
You agree that any arbitration or proceeding shall be limited to the dispute between you and Luminaire individually. To the fullest extent permitted by law, you agree that:
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Luminaire regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Luminaire.
Luminaire shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or interruptions in third-party services.
You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country.
The Service is deemed to be "commercial computer software" and "commercial computer software documentation" pursuant to DFARS Section 227.7202 and FAR Section 12.212. Any use, modification, reproduction, or disclosure by the U.S. Government shall be governed solely by these Terms.
